RESTRICTED ACCESS
Confidentiality & Restricted-Use Agreement
Please review and accept these terms before accessing the confidential website.
1. Purpose and parties
This clickwrap agreement (the “Agreement”) is between the operator of this website and the individual accepting below, personally and, where applicable, on behalf of the organisation identified below (“Recipient”). Access is provided solely to evaluate a potential lawful business, technical, or procurement relationship (the “Purpose”).
2. Confidential Information
“Confidential Information” means non-public information made available through this website, including technical, commercial, pricing, performance, test, integration, security, design, image, document and business information, whether or not marked confidential. It excludes information Recipient can document: (a) was lawfully known without restriction before disclosure; (b) becomes public without breach; (c) is received lawfully from a third party without a duty of confidence; or (d) is independently developed without use of Confidential Information.
3. Recipient obligations
Recipient shall use Confidential Information only for the Purpose; protect it with at least reasonable care; not copy, publish, transmit, disclose, reverse engineer, decompile, benchmark, photograph, scrape or commercially exploit it except as strictly necessary for the Purpose; and disclose it only to personnel or professional advisers who have a need to know and are bound by confidentiality duties at least as protective as these terms. Recipient is responsible for their compliance.
4. Required disclosure
If disclosure is required by subpoena, court order, public-records request or other law, Recipient shall, to the extent legally permitted, promptly notify the operator, disclose only the legally required portion and reasonably cooperate in seeking confidential treatment.
5. Export controls, sanctions and lawful use
Recipient shall comply with applicable United States and other export-control, sanctions, defence-trade, anti-bribery, procurement and security laws, including where applicable the EAR, ITAR and OFAC regulations. No access, export, re-export, transfer or use is authorised to prohibited persons, destinations or end uses. This website does not itself grant an export licence or other governmental authorisation.
6. No licence; no warranty
All information and intellectual-property rights remain with their respective owners. No licence or commitment to sell is granted by access or disclosure. Information is provided “as is” for evaluation, may change, and is subject to contract, verification and regulatory approval. Nothing excludes liability that cannot lawfully be excluded.
7. Term and remedies
This Agreement begins upon acceptance. Confidentiality and restricted-use obligations continue for five (5) years, except that legally protected trade secrets remain protected for so long as they qualify as trade secrets under applicable law. Recipient acknowledges that unauthorised use or disclosure may cause irreparable harm for which equitable relief may be available, in addition to other lawful remedies.
8. Electronic acceptance and authority
By selecting “I Accept,” Recipient intends to sign electronically and agrees that the electronic record, timestamp, IP address and submitted identifying details may evidence acceptance under the U.S. E-SIGN Act, applicable state UETA enactments and other applicable electronic-transactions laws. Recipient may retain this Agreement by printing or saving this page.
9. Privacy notice
For access control, security, audit and proof of consent, the operator records the Recipient’s name, organisation, business email, IP address, user agent, agreement version, acceptance status and UTC timestamp. Data is used on the basis of consent and legitimate security/business interests, retained only as long as reasonably necessary for those purposes and legal claims, and disclosed only to authorised service providers, advisers or authorities where legally required. Requests concerning access, correction or deletion should be sent to the operator’s published contact. Deletion may be limited by legal, security and recordkeeping obligations. IP-based access can affect users sharing a network; do not accept on a shared network unless authorised.

If a provision is unenforceable, the remainder remains effective. Governing law, venue and operator identity must be specified in the final deployment notice or negotiated agreement; mandatory law remains applicable.
